Creator and Author Agreement

Authors as Independent Content Providers

This Creator Agreement applies to authors and other creators who upload, publish, monetise, or promote content through Lithril. It supplements our Terms of Service and explains the commercial rules for participating as a creator on the platform.

By applying for author tools, publishing content, or receiving payouts, you agree to this Creator Agreement.

1. Relationship with Lithril

You act as an independent contractor and independent content provider, not as an employee, agent, or representative of Lithril, unless we sign a separate written agreement that says otherwise.

You control what you upload and whether it is offered for free or through monetised features made available by the platform. Lithril controls the operation of the marketplace, discovery tools, moderation, technical distribution, customer-facing transaction workflow, and payment workflow.

2. Ownership and Upload Rights

You represent and warrant that:

  • You own the content you upload or have all rights, licences, consents, and permissions needed to publish and monetise it.
  • Your content does not infringe copyright, trademark, privacy, publicity, or other rights of third parties.
  • You have authority to enter into this agreement and provide any tax, banking, or verification information we request.
  • Any collaborators, translators, illustrators, or narrators with rights in the content have authorised your use on Lithril.

You remain responsible for disputes relating to ownership, permissions, credits, or contractual claims connected to your uploaded content.

3. Licence Granted to Lithril

You grant Lithril a non-exclusive, worldwide, sublicensable licence for as long as your content is available on the platform, and for a reasonable wind-down period afterward, to:

  • Host, store, encode, reproduce, and display your content through the Service.
  • Distribute paid or free access to users according to the settings and offers enabled on the platform.
  • Create excerpts, previews, thumbnails, metadata, and promotional placements needed to market or operate the Service.
  • Use your creator name, profile image, book cover, and descriptive materials in connection with operating and promoting Lithril.

This licence is limited to operating, improving, securing, promoting, and legally supporting the Service. It does not transfer ownership of your underlying work to Lithril.

4. Revenue Share and Payout Rules

When your content is sold or monetised through Lithril, the reader transaction is completed with Lithril as merchant of record and you are eligible to receive the creator share disclosed in the product pricing, fee schedule, author dashboard, or other platform materials applicable to that transaction type.

Payouts are calculated on net amounts after platform fees, taxes, refunds, chargebacks, reversals, and any transfer or payout costs that are disclosed to you. Lithril may delay payouts, create reserves, or offset losses where permitted by law and necessary to manage fraud, disputes, or compliance risk.

You are responsible for maintaining accurate payout details. We may withhold or cancel payouts if your account is under review, your verification is incomplete, or your content violates platform rules.

5. Tax Responsibility and Compliance

You are responsible for determining and meeting your own tax, registration, reporting, invoicing, and business compliance obligations as a creator, except where Lithril is required by law to withhold or remit taxes on your behalf.

You must provide accurate tax and verification information and promptly update it when your legal name, residency, business status, or payout details change.

6. Prohibited Uploads and Creator Conduct

As a creator, you must not upload or monetise content that:

  • Is infringing, pirated, counterfeit, or otherwise unauthorised.
  • Violates our Terms of Service, Copyright Policy, or Content Moderation Policy.
  • Contains illegal, exploitative, fraudulent, or deceptive material.
  • Includes prohibited explicit sexual content, child exploitation, or material that creates unacceptable safety or payment-partner risk.
  • Misleads readers about authorship, quality, pricing, availability, or purchase terms.
  • Attempts to route users off-platform to avoid platform fees or controls.

7. Content Removal and Platform Rights

You may remove your own content from future sale or access, subject to any active subscriptions, prior user entitlements, legal holds, backup retention, and operational wind-down requirements.

Lithril may refuse, limit, demonetise, suspend, or remove content at any time when required by law, rights complaints, moderation findings, payment-partner rules, technical risk, or breach of this agreement.

8. Suspension and Termination

If this agreement or your author access ends, user licences already granted may continue according to the purchase or subscription terms that applied when the access was granted, unless removal is required by law or urgent safety concerns.

Sections relating to ownership, licences, payments, tax, disputes, indemnity, and liability survive termination to the extent permitted by law.

10. Changes to This Agreement

We may update this agreement to reflect changes in the platform, legal requirements, pricing, payout operations, or partner rules. Continued use of creator tools after an update takes effect constitutes acceptance of the revised agreement.
