Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Lithril platform, including the mobile application, author portal, and website (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. About Lithril
Lithril LLC operates the Lithril platform, a literary marketplace dedicated to connecting authors and readers through a modern digital publishing service.
Lithril LLC is the legal entity responsible for platform operations, data processing, customer-facing transactions, and business activities conducted through the Lithril platform in compliance with applicable law.
2. Roles and Marketplace Relationship
Lithril operates a marketplace for readers, authors, and other account holders. Readers may discover, license, and support content through the Service. Authors act as independent content providers who upload works, set availability within platform tools, and receive payouts under these Terms and the Creator Agreement.
Lithril provides hosting, discovery, payment facilitation, moderation, support, and related platform services. We are not the publisher, employer, agent, or fiduciary of authors unless a separate written agreement says otherwise.
Users receive only the limited rights expressly granted through the Service. No purchase or subscription transfers ownership of any book, manuscript, brand asset, or platform technology.
3. Commercial Model and Merchant of Record
Lithril acts as the merchant of record for all transactions completed through the Lithril platform. Readers purchase digital access, subscriptions, and related platform entitlements from Lithril, not directly from individual authors.
Authors license their content to Lithril for marketplace distribution under these Terms and the Creator Agreement. Lithril then calculates and distributes the creator share from eligible net receipts after taxes, refunds, chargebacks, reversals, fees, reserves, and other disclosed deductions.
Lithril controls the checkout flow, billing relationship, payment collection, refund handling, fraud screening, access entitlement, and customer support process for reader transactions processed through the platform.
Author payouts are part of Lithril's revenue-sharing marketplace model and do not convert Lithril into a bank, money transmitter, or passive payout processor for third-party sales. Authors remain responsible for the legality, ownership, and accuracy of the content they upload.
4. Accounts and Eligibility
You must be at least 18 years old to create an account. By registering, you represent that you are of legal age to enter into a binding agreement and that all information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us immediately at support@lithril.com if you suspect unauthorised access.
We may request additional information to verify your identity, ownership of an account, payment method, or eligibility for author features. You must not share accounts, misrepresent your identity, or use the Service on behalf of another person without authority.
5. User Content and Ownership
Authors retain ownership of all creative works they publish on Lithril. By publishing content on the platform, you grant Lithril a non-exclusive, worldwide licence to display, reproduce, and distribute your content within the Service.
You are solely responsible for the content you publish, share, message, or otherwise make available through the Service. You must have all rights, licences, consents, and permissions needed to upload, monetise, and distribute that content.
You must not upload, promote, or distribute content that:
- Infringes the intellectual property rights of others.
- Is defamatory, obscene, or unlawful.
- Contains malware, spam, or deceptive material.
- Violates the privacy or personal rights of any person.
- Is harmful to minors.
- Includes explicit sexual content, exploitation, or graphic violence in violation of our Content Moderation Policy.
6. Payments, Subscriptions, Payouts, and Refunds
Some features on Lithril require payment. Prices are displayed in the platform in the applicable currency.
Reader purchases, subscriptions, and similar payments are processed by Stripe and other financial partners that support the Service. By completing a transaction, you authorise the applicable payment provider to charge the selected payment method under the terms presented at checkout.
Subscription plans auto-renew unless cancelled before the renewal date. Reader access to paid content may end when a subscription expires or a payment is reversed, refunded, or disputed.
For one-time sales, creator earnings generally accrue after each completed transaction. For subscription access or recurring reader billing, creator earnings generally accrue after the applicable subscription billing cycle or reporting period described in the platform dashboard. Earnings become payable only after the underlying transaction clears, any fraud or compliance review is complete, and the minimum payout threshold shown in the platform is met.
Lithril may place reserves, delay payouts, or offset chargebacks, refunds, reversals, taxes, processing costs, and required fees against future payouts where permitted by law. If a transaction is later reversed, refunded, or disputed, the corresponding creator amount may be withheld from unpaid balances or deducted from future payouts.
Refund requests are reviewed case by case, except where local law requires a specific refund right. We may deny refunds for consumed digital content, abusive purchasing patterns, or transactions that violate these Terms. Author payouts may also be subject to tax withholding depending on your tax residency and category. 7. Author Verification and Compliance
Authors who wish to receive payouts must complete the verification process, which may include:
- Providing a valid government-issued identification document (passport or national ID).
- Providing your tax identification number (TIN) as required by applicable law.
- Signing the platform licence agreement electronically.
- Uploading supporting documents such as sole proprietor (ФОП) registration, if applicable.
Verification documents are reviewed by the Lithril team. Submitting false, forged, or misleading documents is grounds for immediate account termination.
You may be required to re-verify your identity periodically or when your tax status changes.
8. Tax Obligations
Author payouts may be subject to applicable tax withholding depending on your country of tax residency and the laws of the jurisdiction in which Lithril LLC operates.
Withholding rates, if applicable, will be communicated to you at the time of payout and will be reflected in your author dashboard.

Authors are responsible for ensuring their tax details and documents are accurate and up to date. Incorrect information may affect payout calculations.
Tax withholding details are visible in your author dashboard for each payout.
Lithril does not provide tax advice. If you have questions about your tax obligations, please consult a qualified tax professional.
9. Acceptable Use and Prohibited Conduct
You must use the Service lawfully, respectfully, and only for its intended purpose. You must not:
- Attempt to reverse-engineer, hack, or disrupt the platform.
- Create multiple accounts to abuse the platform.
- Scrape or harvest content without authorisation.
- Impersonate other users or Lithril staff.
- Submit false, forged, or misleading verification documents.
- Engage in any activity that violates applicable law.
- Use the platform to distribute infringing, illegal, exploitative, or fraudulent content.
- Circumvent platform fees, moderation decisions, technical restrictions, or payment controls.
Additional rules for creator conduct, copyright complaints, and content review are described in our Creator Agreement, Copyright Policy, and Content Moderation Policy, which are incorporated into these Terms by reference.
10. Intellectual Property
The Lithril platform, brand, design, and software are the exclusive property of Lithril LLC and are protected by applicable copyright and trademark law.
Nothing in these Terms transfers ownership of the Lithril brand or platform to you.
If you believe content on Lithril infringes your rights, you must use the notice process described in our Copyright Policy. We may remove or disable access to allegedly infringing content while reviewing a complaint.
11. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free access to the platform.
We are not responsible for any user-generated content published on the platform.
We do not guarantee the accuracy, quality, legality, safety, or commercial success of any content, author profile, payout arrangement, or third-party service integrated with Lithril.
12. Limitation of Liability
To the maximum extent permitted by law, Lithril shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.
Our total liability to you shall not exceed the amount you have paid to us in the 12 months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where such exclusions are prohibited.
13. Suspension and Termination
We reserve the right to suspend, restrict, demonetise, or terminate your account or access to specific content at any time if we reasonably believe you violated these Terms, created legal or financial risk, infringed intellectual property, submitted prohibited content, or interfered with the integrity of the Service.
We may investigate suspected violations, preserve relevant evidence, report unlawful activity, and cooperate with payment providers, rights holders, and law enforcement where required.
You may stop using the Service at any time and may request account deletion through the platform settings or by contacting support. Any provisions that by their nature should survive termination, including payment obligations, licences already granted, tax, dispute, and liability terms, will survive.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which Lithril LLC is incorporated. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
If you are located in the European Union, you may also have rights under applicable EU consumer protection law.
The platform operates in compliance with applicable legislation on electronic commerce, personal data protection, and financial services.

16. Changes to These Terms
